By accessing or using the Uniproid platform, website, or any associated services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use Uniproid. These Terms & Conditions constitute a legally binding agreement between you and Uniproid (operated by UnitechnoStack), registered in Gujarat, India.

Uniproid is a verified B2B opportunity marketplace where approved business professionals post Needs and Offers to find suppliers, partners, clients, investors, and distributors. Our services include: • Post a Need — describe what your business is looking for (free to post) • List an Offer — describe a product or service you provide (free to post) • Submit Proposals — respond to Need posts with your offer (30 Pulse per proposal) • Receive Enquiries — buyers contact you about your Offer post (20 Pulse per enquiry to the offer owner) • Pulse Credits — the platform's credit system for taking marketplace actions • Verified Profiles — every member is manually reviewed and approved • Company Pages — showcase your business, team, services, and portfolio • Direct Messaging — chat with connected members and matched counterparts • Industry Notifications — get notified when a new post appears in your industry Uniproid is not a social network, freelance marketplace, or job board. It is a curated B2B opportunity platform. All members are manually verified professionals. Features and services may be updated at our discretion with reasonable notice.

Uniproid membership is available to verified business professionals only. To join, you must: • Be a real, identifiable professional or business representative • Provide accurate information during the application process • Meet our verification and review standards • Agree to maintain professional standards of conduct on the platform • Be at least 18 years of age We reserve the right to decline or revoke membership at our discretion, including for misrepresentation, misconduct, or violation of these terms. Membership is non-transferable.

Uniproid operates on a Pulse credit system — there are no monthly subscriptions. Pulse is used to take meaningful marketplace actions. Pulse Earn Rates (current): • Welcome Bonus: 1,000 Pulse on approval (valid for 2 months; unused Pulse expires) • Monthly Free Grant: 100 Pulse per month (200 for Founding Members); expires at month-end if unused • Referral Bonus: 200 Pulse when a member you referred is approved Pulse Spend Rates (current): • Submit a Proposal on a Need: 30 Pulse (refunded if shortlisted) • Receive an Enquiry on an Offer: 20 Pulse (charged to the offer owner) Pulse Pack Pricing (current, subject to change): • Starter: 1,000 Pulse — $10 / ₹1,120 incl. GST • Basic: 2,050 Pulse — $20 / ₹2,242 incl. GST • Popular: 3,200 Pulse — $30 / ₹3,363 incl. GST • Pro: 5,300 Pulse — $50 / ₹5,605 incl. GST • Business: 8,600 Pulse — $80 / ₹8,968 incl. GST • Enterprise: 11,000 Pulse — $100 / ₹11,210 incl. GST Purchased Pulse never expires. INR prices include 18% GST. Pricing may change with 14 days advance notice.

All payments are one-time Pulse pack purchases — there are no recurring subscriptions. India members pay in INR via Razorpay (PCI-DSS compliant). Accepted methods: UPI, Credit/Debit cards, Net Banking, and Razorpay-supported wallets. International members pay in USD via Stripe (PCI-DSS compliant). Accepted methods: all major credit and debit cards. • All INR prices are inclusive of 18% GST. • Pulse is credited to your account immediately upon successful payment. • You will receive an invoice for every purchase. • You are responsible for any bank charges or local taxes beyond our listed price. • Payments are non-reversible once processed, except as described in our Refund Policy.

Different types of Pulse have different expiry rules: • Welcome Pulse (1,000): Expires 2 months after account approval. Unused welcome Pulse is automatically deducted from your balance on expiry. • Monthly Free Pulse (100 or 200): Expires at the end of each calendar month. Unused free Pulse is replaced — not carried over — when the new month's grant is issued. • Purchased Pulse: Never expires. Rolls over indefinitely. • Referral Pulse (200): Never expires once earned. Expired Pulse is not refundable. You will see expiry transactions in your Pulse history.

When you submit a proposal on a Need post: • 30 Pulse is deducted from your balance immediately on submission. • If the post owner shortlists your proposal, 30 Pulse is automatically refunded. • If your proposal is rejected without being shortlisted, the 30 Pulse is not refunded. • You may only submit one proposal per post. When you receive an enquiry on your Offer post: • 20 Pulse is deducted from your balance per enquiry received. • If you have insufficient Pulse when an enquiry arrives, the enquiry is held in a locked state. It is automatically unlocked when you top up your Pulse. • You are not charged for sending an enquiry — only for receiving one.

As a Uniproid member, you agree to: • Provide accurate, truthful, and up-to-date information on your profile and posts • Represent yourself and your business honestly to other members • Only post genuine business Needs and Offers — not spam, test posts, or irrelevant content • Respect other members and engage professionally in all interactions • Not harass, mislead, or misuse the messaging or proposal features • Ensure you own or have rights to any content, images, or documents you upload • Not use Uniproid for any unlawful, misleading, or harmful purpose • Not attempt to reverse-engineer, scrape, or replicate any part of the platform

You retain ownership of the content you post on Uniproid. By posting, you grant Uniproid a non-exclusive, worldwide, royalty-free licence to display and distribute your content for the purpose of operating the platform. Opportunity posts (Needs and Offers) are automatically deleted 30 days after being closed or awarded. Attached PDFs are deleted from our storage at the same time. You are solely responsible for the accuracy and legality of your post content. Content that violates applicable law, is fraudulent, or is misleading will be removed and may result in account termination.

All Uniproid platform design, branding, logos, software, algorithms, and functionality are the intellectual property of Uniproid / UnitechnoStack. You may not copy, reproduce, or use any part of our platform without prior written permission. Your profile content and business posts remain your property. We claim no ownership over the professional work you showcase on the platform.

Uniproid is a marketplace platform — we facilitate connections between members but are not a party to any transaction, deal, or agreement made between members. Uniproid does not guarantee that any proposal will be accepted, any enquiry will lead to a deal, or any business outcome will result from using the platform. To the maximum extent permitted by Indian law, Uniproid's total liability for any claim shall not exceed the total Pulse pack fees paid by you in the 3 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

We may suspend or terminate your account for: • Violation of these Terms & Conditions • Providing false information during registration or verification • Posting fraudulent, misleading, or spam Needs/Offers • Misconduct or harassment of other members • Actions that damage the Uniproid platform or community In cases of termination for cause, unused Pulse will not be refunded. You may appeal a suspension by contacting support@uniproid.com within 14 days.

These Terms & Conditions are governed by the laws of India. Any disputes shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved within 30 days, disputes shall be referred to binding arbitration in Ahmedabad, Gujarat, India, under the Arbitration and Conciliation Act, 1996. The language of arbitration shall be English. For payment disputes, you may also escalate to Razorpay or Stripe's grievance mechanism, or to the relevant consumer court in Gujarat.

We may update these Terms & Conditions from time to time. We will notify you of significant changes via email or a platform notice at least 14 days before the changes take effect. Continued use of Uniproid after the effective date constitutes acceptance of the updated terms.
